Position Overview

Prime Group is looking for a motivated and collaborative self-starter to join our corporate legal and compliance team in our San Francisco office. This individual will report to our internal counsel and work across a variety of functional areas including fund formation, compliance matters, corporate governance, and investor relations and reporting no job is too big or too small. Responsibilities

  • Manage, draft, proofread and file various documents and information related to Prime Group s investment funds and other entities, including partnership and operating agreements, side letters, written consents and resolutions and certificates.
  • Assist with new fund formations and wind downs, including drafting entity formation or dissolution documents and coordinating state registrations and qualifications.
  • Review, track and support the completion of investor due diligence questionnaires and the production of marketing materials and fund offering documents.
  • Track, calendar and maintain organizational, transfer and other corporate documents and records, investor information and Prime Group s institutional information.
  • Manage key components of our compliance program, including assisting with drafting, updating and filing Forms ADV and PF, our compliance manual and related policies.
  • Coordinate and manage our compliance calendar, including receiving, tracking and following up on preclearing advisory employees securities trades, political contributions and outside business activities and responding to other inquiries made pursuant to our compliance policies and procedures.
  • Help review and process subscription documents and KYC/AML search requests as needed.
  • Shephard tasks in connection with closing of fund and investor transactions, including preparation of signature page packets, tracking execution status of documents, maintaining investor lists and contact information and organizing electronic closing rooms and distributing final documents.
  • Retrieve certified copies of corporate documents, certificates of good standing and legal existence and related documents from state officials.
  • Follow, research and report on significant legal and regulatory developments affecting our compliance program, investment funds and other business activities.
  • Perform public searches of all kinds, including federal and secretary of state records.
  • Manage and respond to internal and external requests for information and documents.
  • Identify, design, and implement new processes and procedures to improve our group s efficiency, productivity, organization and communication.
  • Support special projects as needed, including research, organization and project management
  • Take on additional responsibilities based on experience, abilities and interest.

Minimum Qualifications

  • 7+ years corporate paralegal experience at a law firm and/or in-house legal department, preferably in the private equity, real estate or financial services sector.
  • Bachelor s degree. Certificate of completion of a certified paralegal program preferred.
  • Organized and detail-oriented with excellent analytical and written and oral communication skills.
  • Must be able to plan, manage and organize numerous and detailed projects simultaneously under deadline pressure.
  • Strong tech skills, including Microsoft Office 365 applications, with advanced working knowledge of Word, Excel and PowerPoint.
  • Ability to interact effectively with individuals at all organizational levels, including executives and senior management.
  • Must demonstrate the ability to maintain strict confidentiality of our investors , partners and internal affairs.
  • Ability to be both a proactive self-starter and team player who understands the details within a much larger context.
  • Must be flexible to respond quickly and positively to shifting demands and opportunities.
  • Must be team-oriented and able to share information, goals, opportunities, successes and failures with the appropriate parties.
  • Must pay attention to details, follow up and follow through.
